Job Purpose
The Legal Counsel provides legal support, counsel and services to the assigned Business Group. Aspects span commercial, employment, regulatory, compliance and litigation matters. This role involves protecting the organization’s interests and rights through the provision of legal counsel and guidance to ensure business activities comply with relevant laws, regulations and ethical standards for the Business Group's operations in the specific region.
As a Legal Counsel, this role reports to the Assistant General Counsel and is anticipated to work in assigned areas independently with contributions to the Legal team.
Job Dimensions & Scope
- Provide legal support to the business by advising on and managing a wide range of legal matters, including the review, revision, and negotiation of contracts, as well as handling claims and litigation;
- Draft and negotiate a wide range of commercial agreements, including sales and procurement contracts, confidentiality agreements, terms of engagement for advisers and consultants and general M&A related contracts;
- Manage Business Group’s subsidiary management activities;
- Assisting in the company secretarial work of the Business Group’s subsidiaries including appointing and resigning directors and working with external local counsel to prepare board minutes and resolutions;
- Evaluate transactions, business practices and policies to ensure that they comply with all relevant laws and regulations;
- Provide guidance and support in recommendations for the creation and management of compliance initiatives and other matters to mitigate risks in key compliance areas, including antitrust and anti-corruption / anti-bribery;
- Support the Legal strategic planning and decision-making to develop and implement a legal strategy for the Business Group that aligns with the current and long-term business objectives;
- Under the supervision of the Assistant General Counsel, oversee and manage legal actions;
- Develop and deliver training for co-workers on legal and compliance matters;
- Maintain effective working relationships at all levels of the organization;
- Work with the business to continuously improve legal systems and processes and assist in designing templates, policies or other systems.

Qualifications/Requirements
- Formal Qualifications and Experience
Knowledge and Experience: Minimum 4 years of experience in legal area ideally having trained in private practice and with some in-house experience. Experience within manufacturing or a similar B2B environment an advantage. International experience also an advantage.
Education and Certifications: Qualified lawyer, preferably in one of the following countries: Poland, Czech Republic, Italy, Spain.
Fluent in spoken and written English. Working knowledge of other languages is beneficial, although not essential. Fluency in German language is desirable.
